Terms of service
These terms cover use of the SmartOPS Margin website and platform, part of the SmartOPS OS suite.
This page is general information, not legal advice, and does not replace a signed agreement. Ask us for the current contract documents during evaluation.
Agreement
These terms govern access to this website and, together with your signed order form or subscription agreement, use of the platform. Where a signed agreement exists, that agreement prevails in the event of a conflict.
Subscriptions and modules
The platform is licensed per location for the term stated in your order form. Premium modules, including Commissary and Logistics, are licensed separately and may be added during the term. The Logistics module requires the Commissary module.
Fees, billing frequency and renewal terms are set out in your order form.
Customer data
Your organization retains ownership of the operational data it enters or connects, including counts, purchases, invoices, recipes, sales data and reports.
We process that data to provide and support the service, in accordance with the agreement and our privacy policy.
Acceptable use
You agree not to attempt to gain unauthorized access to the platform, interfere with its operation, reverse engineer it, or use it in violation of applicable law. Account credentials must not be shared outside your organization.
Integrations and third parties
Connections to point-of-sale, distributor, labor and accounting systems depend on those third parties. We are not responsible for the availability, accuracy or changes to third-party systems, though we will work with you to maintain integrations in scope.
Availability and support
We aim to provide a reliable service and maintain monitored infrastructure, backups and documented recovery procedures. Scheduled maintenance is communicated to customer administrators. Any service level commitments are those stated in your agreement.
Confidentiality
Each party will protect the other's confidential information, including pricing, cost data and product information, and use it only for the purposes of the agreement.
Disclaimers and liability
Reporting, estimates and calculators — including savings and ROI estimates presented on this website — are illustrative and do not guarantee outcomes. Business decisions taken using platform output remain your responsibility.
Liability is limited as set out in your agreement. Nothing in these terms excludes liability that cannot be excluded under applicable law.
Termination
Termination rights, notice periods and data export and deletion procedures are set out in your agreement. On termination you may export your operational data during the period stated there.
Changes
We may update these terms as the service evolves. Material changes affecting customers will be communicated to administrators.
